These Data Portal Terms of Use (“Terms”) govern the licence to access to and use of the Greater Anesthesia Solutions, LLC (“Company,” “we,” “us,” or “our”) data portal, web interfaces, and related software tools (collectively, the “Portal”).

These Terms apply solely to Portal access, and usage. Commercial terms, healthcare services, payment processing services, and any handling of Protected Health Information (“PHI”) are governed by separate written agreements, including any applicable Business Associate Agreement (“BAA”), where required.

By accessing or using the Portal, you (“User”) agree to be bound by these Terms.

1. Scope of Licence

The software is licensed, not sold. This agreement only gives you some rights to use the software. Company reserves all other rights. Unless applicable law gives you more rights despite this limitation, you may use the software only as expressly permitted in this agreement. In doing so, you must comply with any technical limitations in the software that only allow you to use it in certain ways. You may not

• work around any technical limitations in the software;
• reverse engineer, decompile or disassemble the software, except and only to the extent that applicable law expressly permits, despite this limitation;
• publish the software for others to copy;
• rent, lease or lend the software; or
• transfer the software or this agreement to any third party.

2. Export Restrictions

The software is subject to United States export laws and regulations. You must comply with all domestic and international export laws and regulations that apply to the software. 3. Authorized Use of the Portal

The Portal may be accessed and used only by authorized individuals acting on behalf of a customer, partner, or internal business function of Company, and only for legitimate business purposes related to anesthesia billing, insurance payment processing, reporting, reconciliation, and related administrative activities.

Any access or use outside the scope of authorization granted by Company is prohibited.

4. Access Control and Account Responsibility

Access to the Portal is restricted to users who have been explicitly authorized by Company or an authorized administrator.

Users are responsible for:

• Maintaining the confidentiality of their authentication credentials;
• Ensuring credentials are not shared with unauthorized individuals;
• Using only their assigned accounts;
• Promptly notifying Company of any suspected unauthorized access, misuse, or security incident.

Company reserves the right to monitor Portal access and usage to protect system integrity, security, and compliance.

5. Acceptable Use

Users agree not to:

• Attempt to gain unauthorized access to systems, data, or accounts;
• Interfere with or disrupt the Portal, networks, or security controls;
• Introduce malware, malicious code, or automated scraping tools;
• Reverse engineer, decompile, or attempt to extract source code;
• Use the Portal in violation of applicable laws, regulations, or contractual obligations;
• Use the Portal in a manner that could reasonably compromise the confidentiality, integrity, or availability of Company systems or data.

Misuse of the Portal may result in immediate suspension or termination of access.

6. Security and Data Protection Expectations

Company implements administrative, technical, and physical safeguards designed to protect the Portal and data accessible through it.

Use of the Portal may involve access to sensitive information, including Protected Health Information (“PHI”). Users acknowledge that:

• PHI and other sensitive data must be accessed and used strictly in accordance with applicable laws, Company policies, and governing agreements;
• Users must take reasonable precautions to prevent unauthorized disclosure or access;
• Security incidents or suspected breaches must be reported to Company without unreasonable delay.

Additional information regarding data handling is available in Company’s Privacy Policy and applicable contractual agreements.

7. Suspension and Termination of Access

Company reserves the right to suspend or terminate Portal access, without prior notice if necessary, in the event of:

• Violation of these Terms;
• Security or compliance concerns;
• Termination or expiration of underlying agreements;
• Determination that continued access presents a risk to Company, its clients, or patients.

Upon termination, Users must cease all use of the Portal and may not retain Company data except as required by law or written agreement.

8. Intellectual Property

All rights, title, and interest in and to the Portal, including software, interfaces, content, and documentation, are owned by Company or its licensors. No rights are granted except as expressly stated in these Terms.

9. Disclaimer of Warranty

The software is licensed “as-is.” You bear the risk of using it. Greater Anesthesia Solutions gives no express warranties, guarantees, or conditions. You may have additional consumer rights under your local laws which this agreement cannot change. To the extent permitted under your local laws, Greater Anesthesia Solutions excludes the implied warranties of merchantability, fitness for a particular purpose and non-infringement.

10. Limitation on and Exclusion of Remedies and Damages

You can recover from Greater Anesthesia Solutions and its suppliers only direct damages up to U.S. $5.00. You cannot recover any other damages, including consequential, lost profits, special, indirect or incidental damages.

This limitation applies to

• anything related to the software, services, content (including code) on third party Internet sites, or third party programs; and
• claims for breach of contract, breach of warranty, guarantee or condition, strict liability, negligence, or other tort to the extent permitted by applicable law.

It also applies even if Greater Anesthesia Solutions knew or should have known about the possibility of the damages. The above limitation or exclusion may not apply to you because your country may not allow the exclusion or limitation of incidental, consequential or other damages.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict-of-law principles. The laws of the state where you live govern all other claims, including claims under state consumer protection laws, unfair competition laws, and in tort.

12. Changes to These Terms

Company may update these Terms from time to time. Changes will be posted to this page with an updated “Last Updated” date. Continued use of the Portal after changes become effective constitutes acceptance of the updated Terms.
